Modules include:

The Downward Spiral:

This module teaches students about the various identifiers and warning signs that indicate a business is in a downward trajectory.

Businesses in this condition typically exhibit a range of financial warning signs. These include a shortage of operating cash and negative cash flow.

As accounts receivable remain unpaid for longer periods of time, it typically becomes more and more difficult to collect the delinquent funds. Over time, this can make it harder for the business to meet its financial obligations.

This module presents students with some introductory information to help them become familiar with basic terminology used in financial reports. Familiarity with these concepts will help them identify financial problems within a business.

Financial Accounting Management and Financial Statements:

Our business valuation certification course also includes a module designed to help students with little or no financial background understand financial accounting and accounting terms. This course covers the foundational principles used in determining company profitability, interpreting financial statements and measuring cash flow.

Legal Bankruptcy:

In this module students have the opportunity to gain basic familiarity with the various components of a Chapter 7, 11, and 13 bankruptcies.

There is an emphasis on legal issues and students have the opportunity to become familiar with some general court rules as well as the preparation of documents used in bankruptcy filing.

Buying and Selling a Business:

In this module there is an exposure to the acquisition and disposition process. Topics covered in this module include valuation, strategic positioning, and financing options.

This module focuses on a variety of issues related to buying or selling an ongoing business.

Private Mergers and Acquisitions:

In this module the focus is on legal transactional work that is built around a private company acquisition and the sale of the assets of a business from the initial negotiations all the way through the closing of the sale.

This module examines some of the fundamental deal drivers and business points facing smaller businesses, including cash flow, asset valuation, intellectual property, and taxation and accounting issues.

Negotiation Skills:

The business environment and culture of any business relationship is often the product of a extensive and ongoing negotiations.

Over the course of this module students explore the process of negotiating, evaluating negotiation styles, and considering successful negotiation strategies for most business environments.

The negotiation skills module helps students develop basic negotiation skills that can be used in a variety of contexts.

Contracts:

This module of the business valuation certification focuses on the basics of business contracts from a business owners perspective and draws attention to important business points that are found in a wide variety of business contracts.

This teaching module equips students with a basic understanding of some of the points that drive the formation and creation of contracts.

Letters of Intent & Confidentiality Agreements:

Students are taken through a step-by-step overview of the purpose of confidentiality agreements in Mergers and Acquisition transactions. They also learn about the advantages and disadvantages of letters of intent. Term sheets and other ancillary agreements are also examined in detail.

Dr. Pang has instructed, facilitated, and led numerous business skill courses including team building, building effective groups, and similar courses for several manufacturing companies including Weir SPM, Turbomeca, as well as the City of Arlington along with numerous top 100 law firms.

Dr. Pang served as a faculty member at the University of Texas at Tyler and has been an adjunct faculty member in the law and business/ schools of many universities including the Stern School of Business at New York University, the Graduate School of Management at the University of Texas, Dallas, Pepperdine University, USC, Golden Gate University, the University of California, Irvine, Regent University, and Northeastern University. Dr. Pang received her B.A. from Clark University, her J.D. from the University of Dayton Law School, her LL.M in Taxation from Georgetown University Law School, her M.Ed from the University of Texas, her MBA, MS (Psychology), and her Ph.D in Educ

Requirements

This business valuation certification program must be taken on a PC. There are no specific computer requirements other than an Internet connection (a high-speed or broadband Internet connection is highly recommended). In addition, you''ll need to have Internet Explorer, Adobe Reader, Flash Plug-in, and a QuickTime plug-in on your computer (all are available through free downloads).
